1. Acceptance of Terms

By accessing our website or using our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you should not use our website or services.

2. Services

CODX Systems provides software development, design, and consulting services. Specific terms for each engagement, including scope, timeline, deliverables, and fees, will be defined in a separate Statement of Work (SoW) or Service Agreement signed by both parties.

3. Intellectual Property

Upon full payment for services, we assign all intellectual property rights for the delivered work to you, except for:

• Pre-existing tools, libraries, and frameworks we use
• Open-source components licensed under their respective terms
• General methodologies and know-how developed during the project

4. Confidentiality

Both parties agree to keep confidential all proprietary information shared during the engagement. We are happy to sign a separate NDA before project discussions begin.

5. Limitation of Liability

Our total liability for any claim arising from our services shall not exceed the total fees paid for the specific project. We are not liable for indirect, incidental, or consequential damages.

6. Termination

Either party may terminate an engagement with 30 days written notice. Upon termination, you will be invoiced for all work completed up to the termination date. Any intellectual property developed up to that point will be transferred upon payment.

7. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law provisions.
